Services are rendered under specific written agreements or client correspondence. Any additional services outside the defined scope must be agreed upon in writing and may be billed at the standard hourly rate or a mutually agreed rate.

3. Intellectual Property

All work product created by Komplex for a client is the sole property of the client upon full payment. Komplex retains the right to showcase non-confidential work in its portfolio and marketing materials. Clients may not modify or redistribute work in ways that misrepresent Komplex’s contributions.

4. Confidentiality and Data Security

Both Parties agree to treat proprietary and confidential information with strict confidence. Confidential obligations survive termination of service for five (5) years. Komplex will not disclose client information without written authorization, unless required by law. Data is stored using secure third-party services, and Komplex is not liable for breaches occurring from these platforms.

5. Limitation of Liability

Komplex shall not be liable for indirect or consequential damages. Our liability is limited to the fees paid by the Client within the three (3) months preceding the claim. Marketing results are influenced by external factors and are not guaranteed.

6. Governing Law

These Terms are governed by Texas law. Any disputes shall be heard in a court of competent jurisdiction in Travis County, Texas.

7. Amendments

These Terms may be updated from time to time. The updated version will be posted with a new effective date. Continued use of the Site constitutes acceptance of the amended terms.

8. Severability

If any provision of these Terms is found to be unenforceable, the remainder will remain in effect, and the invalid portion will be replaced with a valid clause closely resembling the original intent.
